Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, “your”) and MerchantFlow Pty Ltd(ABN 94 693 972 208), a company registered in Australia (“MerchantFlow”, “we”, “us”, “our”), operator of TrustProfit at trustprofit.io.
By accessing or using TrustProfit you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use TrustProfit.
What TrustProfit is
TrustProfit is a public leaderboard of ecommerce stores ranked by monthly revenue, profit, and orders, and an introduction venue for buyers and sellers interested in store acquisitions. We provide discovery, an NDA-gated identity reveal workflow, deal-thread messaging, and a hand-off to Escrow.com for transactions that close.
TrustProfit is not a party to any acquisition deal. We are not a broker, an escrow agent, a financial advisor, a legal advisor, or a fiduciary. Funds for accepted deals are held by Escrow.com under its own terms; we do not take custody of buyer or seller money.
Eligibility
To use TrustProfit you must be at least 18 years of age, have the legal authority to enter into this agreement on your own behalf or on behalf of any organisation you represent, and not be prohibited from using the service under applicable law.
Your account
Sign-in is by emailed magic link. You agree to provide an accurate email address, keep your account information current, keep the email inbox you sign in with secure, and notify us promptly of any suspected unauthorised access. You are responsible for everything done under your account.
Listings and metrics
- You may submit only stores that you own or are authorised to represent.
- Self-reported metrics (revenue, profit, orders, asking price, sale status) must be accurate and not misleading. Inflated, fabricated, or duplicate listings are grounds for removal and account termination.
- For stores connected to a MerchantFlow tenant, monthly revenue, profit, and orders are sourced from the live Shopify or WooCommerce data MerchantFlow holds and override anything you self-reported on the same listing. This is the meaning of the “Verified by MerchantFlow” badge.
- You can mark a listing anonymous, in which case your identity is masked on the public chart and revealed to a specific buyer only after that buyer signs the NDA on your listing.
- You grant MerchantFlow a non-exclusive, worldwide, royalty-free licence to display the public fields of your listing on TrustProfit, on related pages, and in marketing for as long as the listing remains active. This licence ends when you delete the listing.
Offers, NDAs, and deals
- Offers placed through TrustProfit are non-binding expressions of interest until both parties have accepted in writing and an escrow transaction has been opened with Escrow.com.
- When you sign an NDA in-app, your typed name plus the IP address recorded at signature time are kept as the legal record of your signature, and you agree the NDA is enforceable as an electronic signature.
- TrustProfit does not warrant the accuracy of diligence materials, metrics, or claims made by sellers in deal threads. Buyers must conduct their own due diligence, including verifying the underlying business and obtaining their own legal and financial advice.
- Sellers are responsible for the accuracy of any non-verified information they provide to buyers under NDA.
Escrow
Accepted deals are funded and released through Escrow.com. KYC, payment processing, funds custody, inspection-period administration, and disbursement are governed by Escrow.com’s own terms and privacy policy. TrustProfit is not a party to the escrow contract between buyer, seller, and Escrow.com.
TrustProfit charges a transaction fee on every deal closed through the platform, calculated as a percentage of the agreed deal value. The applicable percentage, any minimum or maximum, and how the fee is split between buyer and seller are disclosed to both parties before the escrow is opened, and the fee is deducted as part of the Escrow.com disbursement at release. TrustProfit fees are in addition to any fees Escrow.com charges in its own right.
Acceptable use
You agree not to:
- Reverse engineer the platform, its ranking algorithm, or its verification logic.
- Scrape, mirror, or otherwise systematically extract data from the leaderboard or any other part of TrustProfit by automated means.
- Submit fake, duplicate, or inflated listings, or claim ownership of stores you do not own or are not authorised to represent.
- Attempt to bypass the NDA gate to identify anonymous sellers, or redistribute identity information disclosed to you under an NDA.
- Use the deal flow to spam, harass, or solicit users for purposes unrelated to a genuine acquisition discussion.
- Attempt unauthorised access to TrustProfit systems, other accounts, or the underlying MerchantFlow platform.
- Upload malicious code or content, or use TrustProfit for any unlawful purpose.
- Resell, sublicense, or redistribute access to TrustProfit.
Violation of these rules may result in immediate removal of listings, suspension, or permanent termination of your account.
Fees
TrustProfit is free to browse and free to list. We make our money on closed deals: a transaction fee, calculated as a percentage of the agreed deal value, is charged on every deal that closes through TrustProfit. The applicable percentage, any minimum or maximum, and how it is split between buyer and seller are disclosed to both parties before the escrow is opened.
Escrow.com charges its own fees on executed transactions in addition to the TrustProfit fee; those fees are disclosed by Escrow.com before you fund the escrow. Where permitted by the escrow workflow, the TrustProfit fee is deducted from the escrow disbursement at release.
Intellectual property
MerchantFlow owns all rights in the TrustProfit platform, including the software, user interface, ranking and verification logic, brand, and documentation. You retain ownership of the data and content you submit, subject to the licence described under Listings and metrics.
Disclaimers and limitation of liability
TrustProfit is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, or that verified metrics, third-party data feeds, or deal outcomes will meet your expectations.
To the maximum extent permitted by applicable law:
- MerchantFlow is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.
- Our total aggregate liability arising out of or in connection with your use of TrustProfit will not exceed the total amount, if any, you paid us in the twelve (12) months preceding the claim. If you paid us nothing, our total aggregate liability is limited to one hundred Australian dollars (AUD 100).
- We are not liable for failures, downtime, or losses caused by third-party services that TrustProfit relies on, including Escrow.com, Postmark, MerchantFlow data feeds, the hosting provider, or your own Shopify or WooCommerce store.
- We are not liable for the conduct of, or outcome of any deal between, buyers and sellers introduced through TrustProfit.
Nothing in these Terms excludes or limits any guarantee, warranty, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable consumer protection legislation.
Termination
You may stop using TrustProfit and delete your account at any time. We may suspend or terminate your account for breach of these Terms, misuse of the platform, security risks, or where required by law.
On termination, your listings are removed from the public chart and your personal data is handled in accordance with the Privacy Policy. The terms governing any deal already in escrow, and any NDA you have signed, survive termination.
Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and in-app notification with at least 30 days’ notice. Continued use after the change takes effect constitutes acceptance.
Governing law
These Terms are governed by the laws of Australia. The exclusive jurisdiction for any dispute is the competent courts of Australia, without prejudice to any non-waivable consumer rights you have in your country of residence.
